1 Definitions and Disclosure
1.1 These Terms and Conditions which detail our Terms of Business (“Terms” ) contain the terms upon which you may use our online marketplace accessible via our website, www.outsourcemyproject.com ( “Marketplace” or “Website” ) in order to request services from or provide services to other users of the Marketplace.
1.2 The Website acts as a marketplace whereby a variety of users can offer or purchase services in relation to a wide variety of specialist areas (e.g. Web design, Logo design etc.). In the case of Users wishing to advertise their requirements for a specialist service providers (“Customer(s)”), this is done through the posting an advertisement (“Project(s)”) on the Website. Whilst specialist service Coders seeking to offer/advertise their services through the Website (“Coder(s)”) can enter into a competitive bid process for Projects posted by Customers.
1.3 Within these Terms, Coder(s) and Customer(s) are collectively referred to as “User(s)”, “You”, “Your(s)”, and when used in these Terms mean any user of the Marketplace
1.4 The use of, “outsourcemyproject” "we", "us", "our" and "ours" when used in these Terms relates to outsourcemyproject Limited, a limited company registered in England and Wales with registered number 06475134, along with our subsidiaries, affiliates, officers, directors, agents, and employees.
2 No contract agreement acknowledgement
2.1 In agreeing to these Terms, You expressly understand and agree that outsourcemyproject are not entering into or party to any contract with a User or other party not hereby defined.
3 Practices and Contracts between Customers and Coder
3.1 A Customer can advertise their need for a service through posting a Project on the Website. Coders can then choose to submit an offer for providing this service (a “Bid” or “Offer”), allowing the Customer to then evaluate between a range of offers received.
3.2 The Customer is required to specify brief details of the Project along with a closing time and date (“Closing Date”) for the submission of all Bids.
3.3 The Customer is under no obligation to accept a Bid. In the event a Customer does accept a Bid, this is at their sole discretion and in accepting these Terms You understand that We have no influence or involvement in this process.
3.4 On acceptance of a Bid, We request that the Customer and Coder enter into a contract between themselves (“Contract”). This Contract should as a minimum contain a full description of the project or task and shall include without limitation details of all deliverables, acceptance criteria of deliverables, and for ongoing projects or tasks, payment intervals.
3.5 In accepting these Terms, You acknowledge that We will have no legal involvement in Your Agreement(s).
4 Information
4.1 During the process of posting a Project by the Customer, the Customer may be required to submit information to describe the services you require, which may include proprietary information (including without limitation company or individual contact details), commercial information, intellectual property rights, and/or know how (“Information”).
4.2 During the process of placing a bid on a Project, a Coder may be required to submit Information (as defined above) to describe the services he can provide and support their Bid.
4.3 Furthermore, You may also provide Information necessary to operate on Our Website by other means (e.g. Coder and Customer profiles, messages etc.).
4.4 In agreeing to these Terms, you acknowledge and agree that outsourcemyproject have no control whatsoever over the truth, accuracy, quality, safety or legality of the Information.
4.5 You also acknowledge and agree that Your use of the Website and without limitation, the Information you provide, is subject to the following conditions;
4.6 You acknowledge and agree that all rights to the Information you provide belong to use;
4.7 You acknowledge and agree that we may amend the Information You provide at our sole discretion and without prior consultation with You;
4.8 That to the best of Your knowledge all Information You provide shall not be:
· False, inaccurate, misleading or fraudulent
· infringe any third party's copyright, patent, trademark or other proprietary rights or rights of publicity or privacy
· be in breach of English or local law or any other applicable law or regulation (including, but not limited to, those governing consumer protection, unfair competition, anti-discrimination or false advertising)
· be defamatory, libellous, unlawfully threatening or unlawfully harassing
· contain any viruses, trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; or
· link directly or indirectly to or include descriptions of goods or services that are prohibited under these Terms.
4.9 In agreeing to theses Terms, You also undertake not to:
· Share, communicate or otherwise make available to any third party (other than an employee of Yours) Information You obtained through the Website
· Use any Information you obtained through the Website, other than for the fulfilment of a Users request
· Share Information outside of the Website with other Users of the Website
4.10 You agree to use the Website in accordance with our Terms of Use (click here to view)
4.11 We do not control any Information provided by Users that is made available in the Website. You may find the Information to be harmful, inaccurate or deceptive. Your use of the Information and the Website is at your sole risk.
5 Usernames and password
5.1 When a User registers an Account, the User will be asked to choose a username and password for the Account (and can change the username and password at any time).
5.2 As a User, you agree and you are entirely responsible to safeguard and maintain the confidentiality of the username and password you use to access this Site.
5.3 If you are a user of “Team Accounts” whereby you can assign multiple users to a single account, you agree that the information you provide to the Site may be accessible by the other Users of the Account under which your Team Account was added, and Users of all related Team Accounts.
6 Data Protection
6.1 The Information you provide and receive may include personal data. You acknowledge and expressly agree that for the purposes of the Data Protection Act 1998, in respect of the Information We are a data controller.
6.2 In agreeing to these Terms you also expressly agree to the following:
· You must use the personal data contained in the Information which you have access to or which comes into your possession or control for requesting, offering or performance of the Services pursuant to a request by a Customer or Coder via the Marketplace (or otherwise from us) and in accordance with any other instructions given by us.
· You will comply with good I.T and data security practices and will ensure that all technical and organisational measures are enforced to provide security of the personal data contained in the Information.
· You should only keep personal data contained in the Information provided to You at one address which should be the address notified to us at the date of your registration
· We may visit your premises where personal data may be kept or processed, on reasonable notice and at a reasonable agreed time between the hours of 9.00a.m. and 5.30p.m. to satisfy ourselves that your procedures adequately comply with such practices.
· You will on request assist us in complying with any “subject access requests” received from Customers and supply us with, where applicable, details of your own notification or registration of your data processing activities under the law or evidence that you are exempt from such notification or registration.
· You must not use for your own advantage or for the advantage of any third party, or disclose to any third party, any personal data contained in the Information which comes into your possession unless this is necessary for the purpose for which you have been provided the same. You are not restricted from disclosing to a Court or other body having similar authority, or pursuant to Government or other regulations (if any) any personal data which you are compelled to disclose to such body unless professional privilege allows you not to disclose such personal data.
6.3 You acknowledge and agree that we may be required to disclose your personal data to applicable legal and regulatory authorities (including without limitation HMRC).
7 Coder Membership options
7.1 A Coder can either be a Free member, a Standard Member a Gold Member or a Platinum Member. Each membership level provides varying benefits to the Coder as summarised in the table located on the Coder home page.
7.2 Should a Coder wish to sign up for an extended membership plan then they will receive the following discount to the monthly membership fees:
· 1 month - no discount
· 3 months - 10% discount
· 6 months - 15% discount
· 9 months - 20% discount
· 12 months - 25% discount
7.3 Coder membership fees can be paid by credit card, bank account, PayPal, or through your outsourcemyproject My Admin panel. The membership billing period begins on the date that outsourcemyproject receives payment. Coder membership fees are calculated from the beginning of that billing period. You can cancel your membership at any time by following the cancellation instructions listed below.
7.4 If you upgrade your membership plan, then your unused previous membership is lost, hence it is recommended you upgrade closer to the expiry of your current membership option. The new billing period will then be based upon the date outsourcemyproject receives payment of the new membership fee. Upgrading a membership will result in a new billing date effective upon the date of payment of the additional fees. If you downgrade a membership, you will not receive a refund or credit for the fees already paid. The downgrade will go into effect upon receipt of payment. outsourcemyproject reserves the right to modify its membership programs at any time, upon a reasonable notice posted in advance on this Site.
7.5 Membership Cancellation Instructions - To cancel your membership, you must email cancallations@outsourcemyproject.com. Your cancellation request will be effective if received by 11.00 a.m. British Standard Time (“BST”) on the final day of your membership term. outsourcemyproject will send you an email confirmation once your membership has been cancelled. You will not be liable for any additional membership fees after your cancellation is effective. Cancellation goes into effect at the end of the active billing period. In any notice of cancellation, you must include:
· Your full name, outsourcemyproject username, phone number and address.
· Number of memberships you wish to cancel.
· The last five digits of the payment method currently used for your Account (for your security, write only the last five digits; if you are paying with your outsourcemyproject Account, please specify the last activit on your outsourcemyproject Account).
· Only if you are cancelling via fax or certified mail, a printout of your Membership Status page.
Please note that we will not be able to process cancellation requests unless all of the above information is provided. Memberships that expire or are converted to Free Memberships are subject to a monthly Accountfee until remaining funds are removed or expire.
8 Fees and Payment terms
8.1 There is no fee associated with Customers posting a Project on the Website. However, a Customer will be required to complete a registration form and become a member (“Customer Membership”) of the Website prior to posting a Project
8.2 Customer Membership is free of charge and extends for an unlimited time period until either terminated by the Customer via the My Admin panel within the Website, or at the discretion of the outsourcemyproject management. outsourcemyproject management reserve the right to terminate a Customer Membership without any prior contact or warning being provided to the Customer
8.3 The Coder accepts all liability for any Services provided and remains liable to pay outsourcemyproject any commission fees which may be due as a result of using the Website regardless of the payment being received from a Customer
8.4 The outsourcemyproject Billing and Payment Service (“Payment System”) enables Coders to issue invoices and enables Customers to make payments, depositis and escrow funds for services. When Customers make a payment through the Payment System.
8.5 As a Customer, you agree to use the Payment System to make all payments to a Coder, for a period of one year after you identify the Coder through the Site, whether first-time, repeat, or follow-on. You also agree not to take any action directly or indirectly to circumvent the outsourcemyproject Payment System.
8.6 As a Coder, you agree to use the Payment Service to receive all payments from a Customer for a period of one year after you identify the Customer through the Site, whether first-time, repeat, or follow-on (“First-Year Payments”). In addition, you acknowledge and agree that a Customer is not obliged to pay any invoice to you unless you originated that invoice through the Payment System.
8.7 You agree not to circumvent the Payment System. Prohibited acts include (but are not limited to) the following:
· Submitting proposals or soliciting Clients identified on the Site to contact, hire, manage or pay outside the Website.
· Accepting proposals from or soliciting Coders identified on the Site to contact, deliver Coder Services, invoice, or receive payment outside the Website.
· Invoicing or reporting on the Website an invoice or payment amount different than that agreed between Client and Coder.
As a User, you agree to notify outsourcemyproject immediately if your Coder solicits payments from you outside the website. As a Coder, you agree to notify outsourcemyproject immediately if your Customer seeks to pay you outside the website. If you are aware of a breach of the foregoing prohibitions, or any potential circumvention of the Payment Service, please submit a confidential report to outsourcemyproject by sending an email to us at the following email address: policy@Outsourcemyproject.com.
8.8 When you use the Payment System to bill for or pay fees, outsourcemyproject acts as your agent based upon your direction and your requirements to perform tasks on your behalf. outsourcemyproject holds your Account funds separate from its corporate operating accounts, and will not voluntarily make your funds available to its creditors in the event of a bankruptcy or for any other purpose. OUTSOURCEMYPROJECT IS NOT A BANK, AND AMOUNTS TRANSFERRED THROUGH OR STORED IN THE PAYMENT SERVICE ARE NOT INSURED DEPOSITS. You will not receive interest or other earnings on the funds in your Account. outsourcemyproject may earn and retain interest on those funds, or may receive a reduction in fees or expenses charged for banking services or other compensation in respect of any balances in Accounts.
8.9 By initiating invoices and sending payments through the Payment System or adding funds to your Account, you appoint outsourcemyproject as your agent to obtain the funds on your behalf and to transfer the funds to the recipient that You designate, subject to these Terms and Conditions.
8.10 outsourcemyproject acts as a payment provider by creating, hosting, maintaining, and providing the Payment System to you via the Internet. outsourcemyproject does not have any control over the Coder Services invoiced or paid for with the Payment System, nor whether a Customer or Coder you are dealing with will actually complete the transaction. Nothing in the Payment System will be deemed to constitute outsourcemyproject your agent with respect to any Coder Services purchased and sold by Users through the Site, or expand or modify any warranty, indemnity or liability contained in theses terms and Conditions
8.11 Any disputes in connection with services provided by Coders or payments made by Customers remain between such Users. By using the Payment System, you agree to follow the outsourcemyproject arbitration process. You further acknowledge that outsourcemyproject will not be a party to any such dispute. outsourcemyproject will attempt to take the actions to provide arbitration services, but outsourcemyproject will not be obligated to take any other action or refrain from taking any other action toward resolving any such dispute. outsourcemyproject may, at its sole discretion, and in the case of Escrow Jobs be required to, withhold or delay payment or continue to hold amounts in Escrow or make payment or release funds in Escrow, in the event of dispute between a Customer and a Coder
8.12 On acceptance of a Bid, the Customer may be required to either pay a deposit to the Coder or place funds into the outsourcemyproject escrow account (“Escrow system”) for the amount as agreed between the Customer and Coder, which the Customer shall pay, using the Payment System
8.13 The Coder shall not commence work prior to ensuring that the Customer has paid the required deposit or placed the agreed funds into the Escrow system. The Coder accepts all liability for any Services provided without such confirmation and remains liable to pay outsourcemyproject any commission fees which may be due.
8.14 Upon completion of the Services the Coder is required to raise an invoice online using the outsourcemyproject invoice system (“Invoice System”) which is embedded within the Payment System . On receipt of this invoice and agreement and acceptance of the services delivered, the Customer is required to release funds to the Coder via the Payment System.
8.15 The Coder is responsible for chasing up the Customer in any cases where an Invoice has been raised and the Customer has not released the funds.
8.16 Upon completion of the Services and confirmation of acceptance of services by the Customer the Coder shall receive payment from outsourcemyproject of any funds held within the Escrow System within 7 working days. In accepting these Terms, Customers agree to not unreasonably withhold any payments due to Coders for services provided.
8.17 Upon marking the project as complete within the Customer My Admin panel of the marketplace, the Website will automatically generate an invoice from outsourcemyproject to the Coder for outsourcemyproject’s commission at a rate dependent on the Coders membership level (inclusive of VAT) as detailed in clause 7.1.
8.18 In accepting these Terms and Conditions, Coders agree that the applicable commission fee be deducted from the Customer payment and transferred to outsourcemyproject
8.19 In order to avoid any disputes in relation to Services the Customer shall keep accurate records of all Services received and the Coder shall keep accurate records of all Services provided.
8.20 It is the Coder’s sole responsibility to ensure that no Services are provided until an agreement, including terms and conditions has been agreed between the Coder and Customer and any transfer of funds, deposit or escrow payments has been made.
8.21 It is the sole responsibility of the Coder to ensure that the Customer has paid any fee (deposit, escrow or full payment).
8.22 If the Customer fails to respond to the Coder in relation to nonpayment of fee once an invoice has been raised, then the Coder has the right to suspend the provision of Services and enter into an arbitration process and ultimately escalate the arbitration to the outsourcemyproject team for dispute resolution.
8.23 Coders shall not under any circumstance bill Customers other than through the Website in accordance with the provisions of this clause 8.7. outsourcemyproject reserves the right to vary the provisions with the express written agreement in individual cases.
8.24 If, for any reason, outsourcemyproject does not receive payment for any amounts that you have authorised to be paid through your use of the Marketplace or Payment System or other outsourcemyproject Services, you agree to pay such amount immediately upon demand by outsourcemyproject. You also agree to pay any interest charges, attorneys’ fees and other costs of collection incurred by outsourcemyproject in collecting from you the authorised but unpaid amount. In such case, outsourcemyproject may, at its option, stop processing any further payments made by you and apply any amounts then held by outsourcemyproject on your behalf toward any deficiencies, losses or costs that we have incurred as a result of your use of the Payment Service or other outsourcemyproject Service. We may also make appropriate reports to credit reporting agencies, financial institutions, tax agencies and law enforcement authorities, and cooperate with them in any resulting investigation or prosecution.
8.25 Inactive Accounts; Abandoned Accounts: For purposes of determining Inactive Account status and Abandoned Account status, “activity” means payment of subscription fees, payment or receipt of Job fees,.
8.26 Inactive Accounts. If your Account has a balance, but has had no activity for at least five (5) consecutive months, your Account will be placed on “Inactive” status. outsourcemyproject will notify you that your Account is Inactive by sending an email to your registered email address and give you the option of keeping your account open and maintaining the balance or withdrawing the balance. If, within thirty (30) days of such notice, your account has no activity, outsourcemyproject will automatically deduct an Inactive Account Fee of £5, or the entire balance of your Account if such balance is less than £5, per month thereafter, to recover administrative costs of holding funds. outsourcemyproject will send monthly notices of such fees to your registered contact information. outsourcemyproject will cease such deductions if subsequently (i) your Account has activity or (ii) your Account no longer has a balance.
8.27 Abandoned Accounts. If your Account has a balance, but it has had no activity for at least 18 consecutive months or has been on Inactive status for at least 12 consecutive months, Outsourcemyproject will automatically close your Account and attempt to either (a) wire transfer the entire Account balance to your registered bank account, or (b) mail a cheque in the amount of your entire Account balance to your registered mailing address.
8.28 Chargebacks:
(a) Outsourcemyproject reserves the right to establish at its discretion a freeze on the funds submitted by the Customer into the Client Account as a deposit in respect of Services in situations where Outsourcemyproject reasonably believes or suspects that such funds may or will become the subject of a chargeback claim.
(b) If outsourcemyproject decides to freeze such funds, it will provide the Customer with written notice of this fact within a reasonable timeframe. outsourcemyproject shall also notify its suspicions via email to the Coder and the relevant credit card company, bank or other institution as soon as is reasonably possible. If the Coder continues to provide the Services following such notification, it does so at its own risk.
(c) outsourcemyproject may maintain the freeze on the funds in the Client Account for a reasonable period up to a maximum period of 60 days (“Freeze Period”) sufficient to undertake all necessary investigations to verify the validity of the payment of the funds into the Client Account. Customer undertakes to provide all necessary information and assistance to outsourcemyproject for this purpose as well as written confirmation of the validity of the payment of the funds into the Client Account if outsourcemyproject so requests.
(d) At any point during the Freeze Period, outsourcemyproject may request payment from the Customer through alternative means or return the funds from the CoCoder Account to the Customer (by a refund to the credit or debit card or paypal used to make the original payment where appropriate), net of the amount of the commission due to outsourcemyproject from the Coder, in order that the Customer may pay the Supplier directly.
(e) Customer undertakes to provide all information (including without limitation copies of credit card or bank statements) requested by outsourcemyproject in order to verify the Customer’s identity and to confirm their address as requested by outsourcemyproject at any time.
(f) When outsourcemyproject is notified of a chargeback, it shall notify Coder as soon as is reasonably possible and where the provision of services has commenced it shall request that the Coder cease such provision.
(g) Except in the case of its own fraud, outsourcemyproject accepts no liability for losses suffered by any Coder where a Customer of Services makes a chargeback claim in respect of funds paid for such Services. The Coder shall indemnify and keep outsourcemyproject indemnified against such losses where outsourcemyproject is unable to recover the chargeback amount from the Client Account for any reason, including but not limited to there being insufficient funds therein.
8.29 Except in the case of its own fraud, outsourcemyproject accepts no liability for losses suffered by any User. All Users agree to indemnify and keep outsourcemyproject indemnified against such losses arising from any use of the Website whatsoever.
8.30 The Payment System operates in UK Sterling and therefore outsourcemyproject is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than UK Sterling
9 VAT
9.1 Coders are solely responsible for stating in each Bid whether VAT applies to its provision of services
9.2 outsourcemyproject has no responsibility for determining whether VAT applies between the Customer and the Coder in relation to the provision of Services. You acknowledge and agree that outsourcemyproject does not and does not purport to give any advice whatsoever in relation to VAT.
9.3 Each Coder is solely responsible for determining whether VAT applies to its provision of Services and each Coder agrees and acknowledges that it should seek independent professional advice in establishing its VAT status.
9.4 Where a Coder submits a Bid to any Customer stating that VAT does not apply and subsequently establishes that VAT does apply, the Bid shall be construed as inclusive of VAT.
9.5 Where a Coder submits a Bid stating that VAT does apply to the provision of Services the Coder shall provide a valid VAT invoice in accordance with applicable law.
9.6 outsourcemyproject Commission is calculated as a percentage of the Fee inclusive of VAT. outsourcemyproject will charge VAT in addition to the Fee where VAT is applicable.
9.7 For the avoidance of doubt VAT will be applicable to Commission where:
i) The Coder is located in the UK for VAT purposes;
ii) The Coder is located in the EU for VAT purposes and the Service Coder provides the Services for non-business purposes.
9.8 For the avoidance of doubt VAT will not be applicable to Commission where:
i) The Coder is located in an EU member state for VAT purposes and the Coder provides the Services for business purposes and has provided his VAT number or equivalent.
ii) The Coder is located in a non-EU member state for VAT purposes.
10 Disputes between Users
10.1 In accepting these Terms you undertake that in the event of any dispute between you and another user, in the first instance you will attempt to resolve the dispute directly with the user through the outsourcemyproject Arbitration function. In the event that you are unable to resolve the dispute the Arbitration process allows a User to escalate the dispute to a dedicated outsourcemyproject dispute resolution team who will act as a mediator and you agree to be bound by our decision.
10.2 You agree to indemnify outsourcemyproject against any losses suffered by You as a result of a dispute with another User of the Website, or through any use of the Website whatsoever and acknowledge that outsourcemyproject shall not be liable for any costs incurred arising from a dispute between a Customer and a Coder.
11 Warranty
11.1 outsourcemyproject make absolutely no warranty in respect of the Website, or the Information contained in the website or in these Terms. We will however, use all the best of our abilities using the appropriate care:
i) investigate any alleged breach of these Terms and take appropriate action at our sole discretion; and
ii) process all Personal Data, as defined in the Data Protection Act 1998 (DPA) we collect in accordance with our obligations under the DPA.
11.2 outsourcemyproject do not guarantee and do not provide any warranty for continuous, uninterrupted or secure access to the Website, and you acknowledge and agree that operation of the Website may be interfered with by numerous factors outside of our control and within our control.
12 outsourcemyproject exclusion of liability
12.1 Nothing in these Terms shall limit or exclude our liability for fraudulent misrepresentation, resulting from our negligence or the negligence of our, agents or employees. Subject to the foregoing, we (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) will not be liable for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special, indirect or consequential damages arising out of or in connection with your use of the Website, the Information or these Terms.
13 outsourcemyproject Liability cap
13.1 In the event that we are found liable by a court of competent jurisdiction, our liability to you or any third party, and the liability of our parent, subsidiaries, affiliates, officers, directors, agents and employees, in any circumstance is limited to the greater of (a) the total fees you have paid to us in the one month period prior to the action giving rise to the liability, and (b) £25+0.
14 Coder’s warranties
14.1 All Coder’s upon registering with the Website agree to expressly make the following warranties;
i) You have all necessary professional indemnity, liability insurance and all other required insurances to the full extent required for the Services you provide
ii) You are in a stable financial condition, and are not in current violation or under investigation of any applicable laws, rules or regulations
15 Customer’s warranties
15.1 All Coder’s upon registering with the Website agree to expressly make the following warranties;
i) You are in a stable financial condition, and able to meet the financial demand of any project which you choose to award a Coder
16 Indemnity
16.1 You expressly agree to indemnify and hold outsourcemyproject and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim, demand or loss, including all legal fees, made by any third party arising out of your breach of these Terms or use of the Website or Information received or shared through use of the Website
16.2 This indemnity shall not apply where such claim, demand or loss arises solely due to (a) our negligence or (b) our breach of these Terms.
17 Termination of membership / registration
17.1 Without limiting or warning, we may immediately remove your membership and registration, warn other users of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your access to the Website at our sole discretionwithout prior warning or written notice
18 No contract between outsourcemyproject and You
18.1 Nothing in these Terms or within the Website represents a contract or other relationship between You and outsourcemyproject
18.2 outsourcemyproject is not a party to the dealing, contracting and fulfillment of a Job between a Customer and a Coder. outsourcemyproject has no control over and does not guarantee the quality, safety or legality of Coder Services advertised, the truth or accuracy of Job listings, the qualifications, background, or abilities of Members, the ability of Coders to deliver Coder Services, the ability of Customers to pay for Coder Services, or that a Customer or Coder can or will actually complete a transaction.
18.3 outsourcemyproject is not required to and does not verify any information given to us by Coders or Customers, nor does outsourcemyproject perform background checks on Coders. However, outsourcemyproject may provide information about a outsourcemyproject, such as a rating score or geographical location. Such information is provided solely for the convenience of Customers and is not an endorsement or recommendation by outsourcemyproject.
18.4 All rights and obligations for the purchase and sale of Coder Services are solely between Customer and Coder.
19 Assignment
19.1 You agree that these Terms and all incorporated agreements may be automatically assigned by us, in our sole discretion, to a third party in the event of a merger or acquisition or similar corporate transaction.
19.2 You may not assign, license or sub-contract any of your rights or obligations under this User Agreement.
19.3 Your outsourcemyproject account (including feedback) and User ID may not be transferred or sold to another party without our prior written consent. If you are registering as a business entity, you represent that you have the authority to bind the entity to these Terms.
20 Notice and communications
20.1 Unless you otherwise indicate in writing to Customer Support, outsourcemyproject will communicate with you by email or by posting communications on the Site. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication when outsourcemyproject sends it to the email address you have provided to Website, or when outsourcemyproject posts such communication on the Site.
20.2 You must keep your email address updated on this Site, and you must regularly check this Site for postings.
20.3 If you fail to respond to an email message from outsourcemyproject regarding violation, dispute or complaint within two business days, outsourcemyproject has the right to terminate or suspend your Job or your Account.
20.4 All notices from You to outsourcemyproject intended to have a legal effect concerning this Agreement must be in writing and delivered either in person or by a means evidenced by a delivery receipt, to the following address; Outsource My Project Limited, PO Box 4393, Manchester, M61 0FS, United Kindom. Such notices to outsourcemyproject are deemed effective upon receipt.
21 Law and jurisdiction
21.1 These Terms shall be governed by and construed in accordance with the laws of England and you hereby submit to the exclusive jurisdiction of the English courts.
